We had to deal with the topic of corporate governance back in the late 90s, when our first customers had matured to the transfer of business into the hands of hired managers. There were several reasons for this then.

Reasons for handover

First, the presence of multiple owners in many companies, which led to endless debates on the topic "do this or that." For example, in one of the wholesale businesses, where four owners, taking turns sitting on the chair of the joint farm manager, got each other by changing priorities, on the advice of consultants, it was decided that everyone should work together with the manager and managers of the company, in relation to which it is realistic to build a system of setting tasks and control.

Secondly, entrepreneurs who started their business in the 90s, by the end of the decade, faced the ceiling of their managerial competencies. Not everyone realized this right away, but there were those who quickly realized that developing a business and doing daily routine is not the same thing. And they decided to change their position: they moved to the chair of the business owner, giving operational management to trusted persons or professional managers. An example of this kind is the owner of a manufacturing company, who realized that he was not interested in "being in the store every day", and there was little use for him as a controller of processes and people.

And, finally, the third reason that pushed to build at least a prototype of a corporate governance system was the desire of business owners to create and develop more new assets and other businesses, which required a large investment of time and personal energy. At the same time, it was not very realistic to be engaged in operational work in one business and create others, and our customers chose the path of an entrepreneur or investor, giving managerial work to hired hands.

Board of Directors: where it took root, where not so much

So it was in the late 90s. Has anything changed today? - Yes and no. All three of these factors are still relevant today. In large and many medium-sized companies, boards of directors or supervisory boards have been successfully operating for a long time. However, there are also businesses where the individual owner still believes that he can handle everything himself and does not need a corporate governance system. Unfortunately, as we see from the experience of communicating with Russian customers, most of them only know the word "delegation", but really do not know how, and do not want to share decision-making powers with someone else and build a system of authoritarian control and autocracy in their companies.

This recalls the wonderful statement of the founder of the Barkley Corporation Leonid Kazints: “I am often asked why I, the sole proprietor, need a board of directors. - I need it to avoid mistakes. Doing business in the modern world is so difficult that it is worth making one mistake - and business will go down the drain. And this is true: a properly formed and adequately functioning board of directors is a serious insurance against strategic mistakes, because the people included in it are competent in their fields, bring their expertise and allow decisions to be made taking into account the best world and domestic practices.

Why do you need an independent team

That is why, unlike in the 90s, today's boards of directors and supervisory boards often invite independent directors (industry experts and specialists in attracting investments, professionals in human potential management, specialists in strategy development, consultants). All these people, working as a "strategic" team, prepare proposals for approval by business owners or independently make decisions that are within the authority of the Board of Directors. Of course, in private companies there is no possibility to create large boards of directors, but business owners still attract 1-2 independent members/s, realizing the value of other experience and expertise.

Two different options for working in a crisis

These hard times for business, as we see today, are already dividing the owners of companies. Some of them, who often have already implemented corporate governance in their companies, again take away all decision-making powers for themselves. As Mr. Dymov said in one of his speeches: "In a crisis, decisions must be made quickly, there is no time for discussion." Such a position has the right to exist, but there is another view of today's businessmen: "It is in a crisis, when on many issues you have to choose between two bad options, and the amount of uncertainty has increased significantly, you want to have someone from outside to make decisions, not only based on the experience of one of their companies. Therefore, independent members of the boards of directors are very much needed.

Of course, we will not argue about whose truth is better. It is clear that what a particular entrepreneur or circle of owners is ready for will determine the decisions they make. However, whatever decision you make, dear businessmen, we sincerely wish you to break through, survive and develop your business! After all, this is the main goal to which we all aspire.

But anyway, I decided to give you another business idea. And even two, and one mega-idea. I'll start with her.

1. This is not just an idea, but an idea for the production of ideas. Various start-up incubators work according to one, very inefficient scheme. Some geniuses grind out innovations. Sometimes they succeed (for example, a straw for cocktails or a hula hoop), but for the most part they do not. Further, when someone came up with some brilliant nonsense, it remains for the small thing - to convince people that they can not do without it. My suggestion would both allow for the efficient production of ideas and facilitate the dissemination of the product.
The bottom line is that you need to make a site on which consumers would formulate their requests more or less clearly. That is, a person who is not satisfied with something on the market writes what he specifically needs. Then, those who want to organize a business simply look at this information, choose an idea that suits them and go ahead. Moreover, this product will already be expected, the need for imposing on the consumer will disappear.

2. But just an idea, at the same time illustrating the first. I tried to find on the Internet where you can buy cigarettes in small wholesale. I spent at least an hour, just out of sports interest. So for an hour, nothing like this could be found. So people who would organize something like that would have no competitors. Of course, one can assume that there is no demand for it. On every corner of the kiosk, the price of cigarettes is quite low, why bother? But the price of cigarettes, though slowly, is constantly rising (the cigarettes that I buy now are 25 percent more than a month ago), and in the foreseeable future will jump several times, while the kiosks will be closed. If now it is easier to buy a pack at a kiosk for 50 rubles than to buy in bulk for 40, then when a pack will cost 250 (i.e., a pack per day will be 7,500, the average pension in the Russian Federation), and salaries are more likely to decrease so there will be demand. By the way, you can invest now in cigarettes, and after the rise in price, increase the amount several times (which is also relevant, since now, it seems, there are no investment methods at all that guarantee income that exceeds inflation).
